Terms of Service
Welcome to HiddenGem Media. These Terms of Service (“Terms”) govern your access to and use of HiddenGem Media’s website (hiddengem.media), content, products, and services (“Services”). Please read these Terms carefully, and contact us if you have any questions. By accessing our Services, you agree to be bound by these Terms and by our Privacy Policy.
1. Using Our Services
Eligibility: You must be at least 18 years old and capable of forming a binding contract with HiddenGem Media to use the Services. If you are using the Services on behalf of a business or entity, you must have the authority to bind that business or entity to these Terms and are agreeing to these Terms on behalf of that business or entity.
License to Use Services: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services.
Prohibited Actions: You agree not to misuse the Services or help anyone else do so. For example, you must not try to gain unauthorized access to our Services, disrupt our systems, or transmit harmful or illegal content.
2. Content
Your Content: You retain ownership of any intellectual property rights that you hold in the content you submit to the site. When you upload or otherwise submit content to our Services, you give HiddenGem Media a worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display and distribute such content.
Our Content: Except as provided in this section, HiddenGem Media and its licensors own all rights, title, and interest in and to the Services and content, including all associated intellectual property rights. You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices incorporated in or accompanying the Services.
3. Privacy
Our Privacy Policy explains how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that HiddenGem Media can use such data in accordance with our privacy policies.
4. Payment Terms & Billing Cycle:
Initial Payment: Clients are required to make an upfront payment before services commence to cover the buildout of the Marketing Funnel.
Billing Cycle: Following the initial payment, billing occurs every four (4) weeks. Each new 4-week cycle is charged automatically to the payment method on file at the beginning of the cycle via our secure payment processor (Stripe).
Automatic Payments: By enrolling in our Services, you authorize HiddenGem Media to automatically charge the payment method on file at the start of each billing cycle. Clients may opt out of automatic billing by providing written notice at least 14 days prior to the start of the next billing cycle.
Ad Spend: Any additional ad budget is optional and billed separately at the Client’s discretion.
5. Cancellation & Refund Policy:
Initial Commitment: All service agreements require a minimum initial commitment period of three (3) months. After this period, the agreement automatically renews every four (4) weeks unless either party provides written notice of termination at least 14 days before the next billing cycle.
Cancellations: Clients may cancel services any time after the initial 3-month period with written notice. To avoid being charged for the subsequent billing cycle, notice must be provided at least 14 days prior to the start of that cycle. Cancellations become effective at the end of the active billing period.
Refunds: HiddenGem Media does not offer refunds once services are contracted and initiated. This ensures that we can allocate resources efficiently and maintain the highest standard of service for our clients.
6. Resolving Disputes
Informal Resolution: If you have a dispute with us, we’ll first attempt to resolve it informally before pursuing formal legal action.
Jurisdiction: These Terms and any related action will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
7. Termination
We may suspend or terminate your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
8. Modifications
We may revise these Terms from time to time and the most current version will always be posted on our website. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms.
